MEMORANDUM OF ASSOCIATION
"THE ASSOCIATION OF OTOLARYNGOLOGISTS OF BIHAR AND JHARKHAND STATE BRANCH"
AREA OF OPERATION:
The aims and objectives of the Association are as follows:
- To encourage and advance the study and practice of the science of Otolaryngological problems
(a) by encouraging scientific research and experimental work on Otolaryngological problems.
(b) By providing facilities for research.
(c) By holding scientific discussions and reading papers on otolaryngological problems..
(d) By establishing and maintaining a museum and reference library and furnishing it with books, reviews, magazines, videos, new educational aids or any other technical modes as related to otolaryngology.
(e) By watching and advising on legislation affecting otolaryngologists and by bringing together members of the Association periodically at conference and in general by working for the betterment of the cause of Otolaryngology in India
(f) By conducting and publishing a journal devoted to Otolaryngological subjects.
(g) By holding properties movable and immovable that may be necessary or advantageous for the aforesaid objects, to purchase and sell, to lease and to mortgage the same for the purpose of the Association and to construct, alter and maintain any building or building necessary from the finances of the Association.
(i) By receiving donations and contributors from members as well as non-members and by holding the same in trust for any particular purpose or purposes for advancement of otolaryngology.
(j) By cooperating with other associations, National & international connected with otolaryngology and allied Sciences and interact with other medical disciplines and take collective steps for education of public in preveritive aspects.
(k) By organising exhibitions of machinery, implements, tools, appliances, etc connected with or pertaining to Otolaryangology in different parts of the country and to improve the implements, machinery, instrument and appliances used in the practice of Otolaryngology
(l) By making bye-laws, rules and regulations of the Association and to delete, alter and amend or add to the same as and when necessary
(m) By doing all such other things as may be incidental to or conductive to the attainment of the aims and objects of the Association.
(n) By establishing branches wherever feasible.
To create awareness about otolaryngological problems among general masses of urban as well as rural areas. (a) By holding conferences in both urban and rural areas. (b) By organising free check-up camps often extensive publicity in urban, semi urban as also rural areas to detect otolaryngological problems and rendering appropriate advice, care, treatment and danger involved if not treated in time.
AMENDED RULES & REGULATION OF
THE ASSOCIATION OF OTOLARYNGOLOGIST OF INDIA, BIHAR & JHARKHAND BRANCH
- DEFINITION
(i) Society means: THE ASSOCIATION OF OTOLARYNGOLOGIST OF INDIA BIHAR & JHARKHAND
(ii) Committee means: The Managing Committee of the Society
(iii) Office bearer means: President, Secretary & Treasurer
(iv) Year means: From 1 st April, 31 st March
(v) Body means: The General Body of the Society - MEMBERSHIP
There shall be a register in which the name of all the members of the Association shall be entered with their qualifications, type and addresses corrected from time to time and these members form the Association
- PRIVILEGES OF MEMBERSHIP
i. Ordinary members:- All ordinary members shall be entitled as of right to participate in all the activities of the association including the right to vote and right to hold an office and shall also be entitled to receive the journal free of all charges during the continuance of membership
ii. Associate members : All Associate members of the Association shall be entitled to participate in all the activities of the Association and shall also be entitled to receive the journal free of all charges during the period of their membership But they shall not be entitled to vote at the meetings of the Association or to hold the position of office bearers
iii. Life Members : Life members will have all the privileges of ordinary members. Life members and ordinary members with at least two years standing membership and who have cleared their subscription till the last date of the preceding calendar year, ie.- 31 December (in case of ordinary members) can take part in the process of constitution of Governing body - METHOD OF NOMINATION FOR MEMBERSHIP
Every candidate who may apply to the Association for membership shall be nominated by atleast two ordinary members whose names appear on the Register of the Association as existing members and such application shall be sent to the Honorary Secretary. The Governing Body shall have the right to decide the eligibility and the class to which the applicant belongs. Such decision shail be final All members except Honorary members and corresponding member shall pay a subscription as determined by the General Body from time to time Distribution of the annual subscription will be as decided by the General Body from time to time as provided in the bye-laws.
- CEASATION OF MEMBERSHIP
Membership of the Association shall cease on:
- Voluntary Resionation
- By voluntary resignation as from a specified date by giving one months notice in writing to the Honorary Secretary his resignation De effective until the dues to the Association are cleared by him
iii. Failure to pay subscription for one year If a member fails to pay the subscription for ofte, es after the due date and in spite of two registered notices with acknowledgements due demanding payment from him, the first one from the Honorary Treasurer and second from the orary Secretary. However, if he cleared all the outstanding dues, he can be reinstated with the approval of the Governing body
- iv) By Death.
- v) Conviction in Court: Ipso-facto (i) upon sentence after conviction in a court of justice of any crime entailing moral turpitude or (II) upon being deregistered by a medical Council in India on ground of unethical conduct for the duration of deregistration or(III) upon for feiture through misconduct of the medical qualification by virtue of which the member is eligible for membership He can appeal against the decision of the Governing Body to suspend or terminate his membership within a period of 3 months of receipt of the notice. If he fails to appeal within the time or if the General Body confirms the termination, the membership automatically ceases. The General Body by majority of the members present at the meeting may reinstate the member as it deems fit The member has no right to question The decision of the General Body in this matter.
- FORMATION OF MANAGING COMMITTEE
The Management of the Association shall be vested in a Governing Body which shall consist of members constituted as follows:
(a) President.
(b) President Elect
(c) Vice-President.
(d) Immediate Past President.
(e) Honorary Secretary
(f) Honorary Treasurer.
(g) Joint Secretary
Election of office bearers is by consensus in case of contest by secret ballot . The elections will be held for the following offices and for the terms indicated
(a)President Elect for one year
(b)Vice President for one year
(c)Honorary Secretary for three years
(d)Honorary Treasurer for three years.
Editer for three years
(f) one joint Secretary shall be nominated by the president for one year and onejo Secretary shall be elected by G.B for one year and both will be the ex-office members of the Governing Body for that period.
(g) The President Elect, at the end of the year will assume office as the President for year and will be the past President for the subsequent year.
iii Vacancies
(a) in the event of any vacancy occuring amongst the office bearers, viz The President Hon. Secretary and Associate Secretary, and the Hon. Treasurer, Editor & Chairman of the Editorial Board during the course of their term, the existing members of the Governing Body shall elect the office bearer or office bearers in the vacancy or vacancies and person so elected shall hold office for the period for which their predecessors woul have functioned.
(b) Office bearers shall cease to hold office
(c) If they cease to be members under clause 4 above
(d) If by a resolution the General Body decides by a two third majority of the members present that such office bearer be removes from office
(e) Eligibility for re-election All office bearers shall retire after expiry of their term but shall be eligible for re-election only for another term.
- POWER & FUNCTION OF THE MANAGING COMMITTEE
(i) To carry out the aims and objectives of the society
(ii) To administer and control the affairs and fund of the society and exercise all power on benal of the society
(iii) To do all other lawful acts, matters, things and deeds as may be conducive to and expedie In the interest of the society
(v) To purchase, take on lease or in exchange or hire or otherwise acquire any movable property for the purpose of the society and to carry out agreement, Contract obligation and arrangement on suitable terms.
- MEETINGS
- General Body Meetings :
(a) The Annual meeting of the Association shall be held at a time and place to be notified by the Honrary Secretary and such annual meetings shall be held within eighteen months after the previous one unless the Governing Body by a majority resolves otherwise.
(b) The Honorary Secretary shall give atleast two months notice of the annual general meetings
(c) The time and place of the Annual General meeting shall ordinarily be decided by the General Body,
(d) For attending to the needs and requirements of the annual meeting the Governing Body shall appoint an organizing Secretary from that area in consultation with the executive of the affiliated local branch if existing at the place.
(e) The duration of the session shall be two to three days.
(f) The Quorum for Annual General meeting shall be 20. If within half an hour of the appoin ted time no quorurn is present, the meeting shall stand adjourned. The President or in his absence the immediate past President can hold the adjourned meeting at his discretion after half an hour where no quorum is required.
(g) The Quorum at Special Requisition meeting, which shall be called by 30 per cent of ordinary members by giving three month’s notice, shall be 20.
(h) The Governing Body may call a special General meeting whenever they deem it to be necessary for a specific agenda only, by giving one month notice. The quorum for such a meeting shall be 15
- Governing Body and its meetings.
(a) The members of the Governing Body shall meet at least once a year before holding the annual meeting.
(b) Any five members shall form a quorum.
(c) The President, when present, shall preside at all the meetings of the Governing Body and in his absence immediate Past President or the President elect or any of the past Presi- dent shall preside, If all the three happen to be absent, the meeting may elect its own chairman and for the purposes of the meeting he shall have all the powers of the Presiden..
(d) The voting may be by show or hands.
(e) In every case of voting the President or the chairman will have a vote, in every case of a tie the chairman or President shall have an additional or casting vote
iii Extra meetings of Governing Body:
Whenever it is found inconvenient to call a meeting of the Governing Body and the Hon Secretary deems it desirable that the opinion of the Governing Body should be obtained on any particular matter or matter where of their opinion is required, he shall do so by post and act in accordance with the view of the majority.
- POWER AND FUNCTION OF OFFICE BEARER PRESIDENT
(i) He will preside over all the meetings of the managing committee and the General Body of the Society in the absence of the President the member Present at the meeting shall elect a President from among themselves and the President shall exercise all such power
(ii) He will have casting vote which he will exercise only when there is a lie in meeting.
(iii) He will guide direct and supervise all the activities of the society.
SECRETARY
(i) The property of the Association shall be in the possession and control of the Honorary Secretary and the Hon. Treasurer
(ii) The Honorary Secretary shall perform the usual function of his office and shall be responsible to the Association for carrying out the resolutions of the association
(iii) The Honorary Secretary shall incur no extra ordinary expenses without the sanction of the Governing Body except for the purpose of holding the annual or other meeting which he may do with the concurrence of the honorary Treasurer.
(iv) The books and accounts of the Association shall be audited by an auditor annually appointed by General Body and shall be available for inspection to any member only at the annual meeting.
(v) The Honorary Secretary shall keep a record of the proceedings of the meetings of the Governing and records shall be open to inspection by a member of Governing Body
TREASURER
(i) The Honorary Treasurer shall maintain a true and accurate account of all money received by the Association through the Honorary Secretary and he shall make a statement regarding the financial position of the Association at the annual General meeting
(ii) The Honorary Secretary and the Hon. Treasurer shall jointly sign all cheques, notes, bills, and other negotiable instruments unless the Governing Body by a three-fourth majority decides otherwise
(i) The Governing Body will have powers of making rules when deemed necessary inter alia relating to the discipline and professional conduct of Otolaryngologists subject to the sanction of the General Body.
VICE-PRESIDENT
The Vice-president shall aid and assist the President in discharge of his duties and day to day functioning of the Association
JOIN SECRETARY
Joint Secretary (s) shall aid and assist The Secretary in discharge of his day to day duties and functions pertaining to the Association such as broadening membership base, field work etc.
- BANK
The accounts of the society shall be kept and the bank account will be opened in a nationalized bank/legal bank or post office in the name of society and it will be operated by joint signature of any two office bearers such as President/Secretary and treasurer
- SOURCE OF INCOME
(i) By membership fee, donation from its members, other individuals, private firm, companies organizations and nstitutions running under society.
(ii) By government aids and donations
(iii) Grant and aid from any other legal source
(iv) By National and International funding agencies
- INSPECTION OF THE RECORDS
All records will be kept in registered office. Any member wishing to inspect can do so with the prior permission of the President or Secretary
- AUDIT OF ACCOUNT
(i) The accounts of the society shall be audited at least once a year by an auditor appointed by the General Body and it will be placed before the General Body meeting
(ii) Inspector General of registration, Bihar on his discretion any time, may get audited
